1. Regulatory Status & Form ADV

TechNexus LLC ("TechNexus") operates as an Exempt Reporting Adviser under Section 203(l) of the Investment Advisers Act of 1940 (the "Advisers Act"). Section 203(l) provides an exemption from registration for advisers that solely advise venture capital funds as defined by Rule 203(l)-1.

TechNexus is not a registered investment adviser with the U.S. Securities and Exchange Commission ("SEC") or any state securities regulator, and nothing on this site should be read to imply otherwise. As an ERA, TechNexus files an abbreviated Form ADV Part 1A with the SEC and is subject to a subset of the Advisers Act's rules, including the general anti-fraud provisions of Section 206.

TechNexus's public Form ADV filings can be searched and downloaded at the SEC's Investment Adviser Public Disclosure website: adviserinfo.sec.gov.

The legal entity operating this website and the TechNexus venture collaborative is TechNexus LLC, a Delaware limited liability company with its principal place of business at 20 N. Wacker Drive, Chicago, Illinois. Carried interest and fund-management activities for specific TechNexus-sponsored vehicles may be conducted through affiliated entities; where that is the case, the applicable offering documents identify the responsible entity.

Statistics cited on this Site — including the number of portfolio companies, follow-on capital raised by portfolio companies, coworking-incubated startups, years in operation, and similar aggregate figures — reflect TechNexus's cumulative activity over its operating history and are drawn from a combination of internal records and third-party sources including PitchBook and public filings. These figures are provided for informational purposes only and are subject to the following limitations:

  • Aggregate follow-on capital raised by portfolio companies is not the performance of any TechNexus fund or vehicle, and does not represent realized or unrealized investor returns.
  • Portfolio-company counts include companies at various stages, including those that have since been written off, sold, or wound down.
  • Third-party data (including PitchBook data) is believed to be accurate but has not been independently verified by TechNexus and may be revised.
  • Past performance is not indicative of future results. Any investment involves substantial risk of loss, including the loss of an entire investment.

Access to Pulse is conditioned on completion of an accreditation gate and applicable representations; Pulse content is not available to, and not intended for, non-accredited investors.

Any specific opportunity presented on Pulse is offered, if at all, pursuant to Regulation D Rule 506(b) or 506(c) or another applicable exemption, and solely through definitive offering documents for the sponsoring special-purpose vehicle or fund.
